Coastal Photo Club, Inc. Bylaws
As adopted November 18, 2006
ARTICLE I - NAME
This organization shall be known as the Coastal Photo Club, Inc.
ARTICLE II - PURPOSE AND OBJECTIVES
The objective of this Club shall be to bring persons who are interested in acquiring and developing an appreciation of the art and techniques of photography.
This objective to be furthered by:
1. Providing opportunities by exchanges of ideas and the dissemination of information on all phases of photography.
2. Providing regular programs and competitions for the membership.
3. Providing constructive criticism and helpful suggestions to members, together with advice, help and encouragement of beginners.
4. Promoting good fellowship and mutual aid at all times.
5. Working in cooperation with other camera clubs and organizations interested in photography.
ARTICLE III - MEETINGS
The day of the meeting shall be the third Saturday of the month, but this may be changed by the Executive Board in exceptional circumstances.
Special meetings may be called by the President or the Executive Board.
ARTICLE IV - FISCAL YEAR
The fiscal year of the organization shall begin September 1st and end August 31st of the following year.
ARTICLE V - MEMBERSHIP
Membership shall be open to persons who are interested in photography.
1. Annual dues shall be payable September 1st. After February 1st, new members shall pay one-half annual dues.
2. Any member whose dues are in arrears after November 30th of the current year shall be dropped from the roster upon due notice. Dues must be paid in full to participate in club competitions.
3. Types of memberships:
a. Single membership: any person interested in photography
b. Family membership: any immediate family members
in same household
c. Business membership: any business interested
in photography
ARTICLE VI - OFFICERS
The officers of this club shall consist of the President, Vice-President, Secretary, and Treasurer. All officers shall be elected for a term of one year by the membership in good standing.
1. Duties of the President shall be: to preside at all Club meetings and Executive Board meetings, to appoint Chairman of all committees, to act as Club spokesperson; to generally supervise and keep in touch with all Club activities.
2. Duties of the Vice-President shall be; to perform the duties of the President during the absence or disability of the President,to be responsible for planning and managing Club events and presentation programs; and finding judges for competitions.
3. Duties of the Secretary shall be: to preserve in the books of the Club and the records and books of the predecessor Club, the New Bern Camera Club, to record true minutes of the proceedings of regular and Executive Board meetings, to conduct correspondence of the Club; to notify members of special meetings and events; to prepare ballots for election; and to maintain a current register of the entire membership.
4.Duties of the Treasurer shall be: to maintain records and custody of Club funds and dues; to discharge Club expenses upon the approval of the Executive Board and maintain records thereof; to prepare monthly reports of Club finances, to prepare an annual budget, to maintain, in concert with the Secretary, a current register of the entire membership.
ARTICLE VII - ELECTION OF OFFICERS
Election of officers shall be held annually no later than during the month of August.
1. The President shall appoint a nominating committee composed of three members, with at least one of these not on the Executive Board. The committee shall prepare and publish a slate of officers and obtain the agreement from the nominees to serve, if elected. The chairman of the committee shall present the slate at the August meeting. Additional nominations may be made from the floor with consent of nominee.
ARTICLE VIII - EXECUTIVE BOARD
The management of this Club shall be directed by the Executive Board, composed of the elected officers, chairmen of the standing committees, and the immediate past president of the Club.
1. The Executive Board shall meet as often as necessary to transact the business of the Club.
2. A majority of the Board shall constitute a quorum.
3. Any Board member failing to attend three consecutive Board meeting without justifiable reason shall loose his seat on the Board.
4. The first meeting of the incoming Executive Board shall be a joint session with the out-going Board to facilitate an easy turnover and exchange of ideas.
ARTICLE IX - VACANCIES
Vacancies in the Club office shall be filled by the Executive Board.
ARTICLE X - COMMITTEES
The President shall appoint chairmen of the following standing committees and such special committees as the Board may establish.
1. Standing Committees:
Newsletter and Web Site
Publicity and Press
Competitions
Exhibits
Programs
Volunteer and Outreach
Room and refreshments
2. The activities of the Club committees shall be determined by the Executive Board. The activities decided upon shall thereafter be carried out by the committee chairmen and the volunteers of the respective committees.
3. Standing committee chairmen shall prepare reports of activities and progress monthly for presentation to the Executive Board and to the membership of the Club at the regular meetings.
4. Tenure of the committees shall cease with the expiration of the fiscal year.
ARTICLE XI - FINANCES AND DUES
Membership dues, voluntary contributions, together with profits of such Club activities as are approved by the Executive Board, shall constitute the sources of revenue for the conduct of the affairs of the Club.
1. Annual dues shall be as follows:
a. Single membership: $20
b. Family membership: $30
c. Business membership: $50
2. The annual dues shall be payable after September 1st of the current year. A member who joins after February 1st shall be required to pay one half of the annual dues.
3. The annual budget and finance report shall be presented to the membership in summary form shortly after the close of the fiscal year. The outgoing president shall submit the budget and finance reports in detail at the first meeting of the Executive Board for its consideration and adoption.
ARTICLE XII - AMENDMENTS
These bylaws may be amended at any business meeting of the general membership of this club provided that any suggested changes have been presented to the membership in written form one month previously.
1. A two thirds majority vote of at least a quorum of members present may ratify such amendment(s) to the bylaws.
